Is there a way in Fireworks or Photoshop to totally change the text of an image which has a black and grey background? Please notice, I do not have a template with background only, without text--for that image, just the image (which i downloaded from the Internet) with some text (which i want to change). Your feedback appreciated.

You would need the raw(.psd/.png) image files that it was made from before it was exported/saved as an image for the web. If you wanted for example to change what the word(s) say but maintaining the font and colour used.

Otherwise my suggestion would be to clone out the old word and re-add the type trying to best match the font etc you wanted. So in short, answering your original question; no.
